Terms and Conditions of Sale and Use

1. Introduction

These Terms and Conditions of Sale and Use ("Terms") govern the contractual relationship between MICHEL Pierrick EI (SIRET 849 317 508 00026, RCS Toulouse), trading as Swiply Farm, and any user subscribing to or using the Swiply Farm application. These Terms are governed by French law. By accessing or using the service, you agree to be bound by these Terms.

2. Services Offered

Swiply Farm is an AI-powered platform that automatically generates TikTok carousel slides (5 slides, 1080×1920) from a URL, text instructions, or a free organic theme. Users can visually edit each slide and publish directly to TikTok.

The platform offers three subscription plans:

• Starter — $19/month: 30 carousels/month, 30 AI images/month.
• Growth — $47/month: 300 carousels/month, 100 AI images/month, unlimited TikTok accounts, publish to TikTok, auto-scheduling, 5 team seats.
• Scale — $297/month: Unlimited carousels, unlimited AI images, unlimited TikTok accounts, publish + auto-scheduling, unlimited team seats, MCP integration.

Unauthorized resale, sublicensing, or sharing of accounts is strictly prohibited.

3. Subscriptions and Payments

Subscriptions are billed on a monthly basis and renew automatically. Payments are processed via credit card through Lemon Squeezy. Swiply Farm does not store or have access to your banking information. No minimum commitment is required unless otherwise stated.

4. Subscription Renewal and Cancellation

Subscriptions renew automatically at the end of each billing cycle unless cancelled. You may cancel your subscription at any time via your account dashboard or by contacting [email protected]. Cancellation takes effect at the end of the current billing period. No prorated refund will be issued for the remaining days of the cycle.

Swiply Farm reserves the right to suspend or terminate your account in the event of non-payment, non-compliant use, or violation of these Terms.

5. Right of Withdrawal

In accordance with Article L221-28 of the French Consumer Code, you acknowledge and agree that, by subscribing to the service and requesting its immediate execution, you expressly waive your 14-day right of withdrawal. Access to the platform and its features (carousel generation, editing, publishing) is provided immediately upon subscription.

By completing your subscription, you expressly consent to the immediate execution of the service and acknowledge that you lose your right of withdrawal once the service has been fully executed.

6. Refund Policy

No refund (full or partial) will be issued in the event of cancellation during a billing period or non-use of the service.

7. Use of Services

Users agree to use the service in compliance with all applicable laws and regulations. You must provide accurate information when creating your account and must not misuse the service.

Fair Use: The following activities are prohibited:

• Using automated scripts, bots, or scrapers to interact with the service.
• Reselling or redistributing generated content for commercial purposes outside of your own TikTok accounts.
• Disproportionate or abusive usage intended to degrade the service.
• Generating content that is illegal, defamatory, hateful, or infringing on third-party rights.

AI-generated content (text and images) may not always be perfectly accurate. Users are encouraged to review all generated carousels before publishing. Swiply Farm does not guarantee the accuracy or suitability of AI-generated content.

8. Personal Data Protection

Personal data is processed in accordance with the General Data Protection Regulation (GDPR). Your data is kept strictly confidential and is not shared with third parties except as required by law or essential technical providers. 9. Intellectual Property

All content, software, interfaces, designs, and trademarks related to Swiply Farm are the exclusive property of MICHEL Pierrick EI or its partners. Unauthorized reproduction, modification, or distribution is strictly forbidden.

Content generated by users through the platform (carousels, text, images) remains the responsibility of the user. Swiply Farm does not claim ownership over user-generated content.

10. Limitation of Liability

Swiply Farm provides the service "as is" and makes no warranty regarding the accuracy, completeness, or suitability of AI-generated content. Swiply Farm shall not be held liable for any indirect, incidental, or consequential damages arising from the use of the service. Total liability is capped at the amount paid by the customer over the twelve (12) months preceding the claim.

11. Support and Maintenance

Technical support is available via email at [email protected]. Response times may vary depending on your subscription plan. The service may experience temporary outages for maintenance purposes; advance notice will be provided when possible.

12. Force Majeure

Neither party shall be held liable for any failure or delay in the performance of their obligations caused by circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, internet outages, or third-party service failures.

13. Assignment of Contract

Swiply Farm reserves the right to assign this agreement to any affiliated entity or in the event of a merger, acquisition, or sale of assets. Customers will be notified of any such assignment in advance.

14. Consumer Mediation

In accordance with Articles L611-1 and L612-1 of the French Consumer Code, Swiply Farm provides consumers with access to a consumer mediation scheme for the amicable resolution of disputes.

Before contacting a mediator, you must first attempt to resolve your dispute directly with Swiply Farm by sending a written complaint to [email protected].

If no satisfactory resolution is reached within 60 days, you may refer the matter to the following consumer mediator:

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of France. In the event of a dispute, the parties agree to first attempt amicable resolution. Failing that, the dispute shall be submitted to the exclusive jurisdiction of the Commercial Court of Toulouse, France.

16. Amendments to These Terms

Swiply Farm reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the application. The current version of these Terms is always available at swiply.farm/terms.
